These Terms of Service (“Terms”) govern your access to and use of the SeatBuilder website, seat-map editor, embeddable widget, and API (together, the “Service”). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. Accounts
You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials and API keys and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
2. Acceptable use
You agree not to, and not to permit others to:
- use the Service in violation of any applicable law or regulation;
- reverse engineer, resell, or provide the Service to third parties except as expressly permitted;
- attempt to gain unauthorized access to the Service or its related systems, or interfere with its normal operation;
- upload content that is unlawful, infringing, or that you do not have the right to use.
3. Subscriptions and payment
Paid plans are billed in advance on a recurring basis and are non-refundable except where required by law. Fees may change on renewal with reasonable prior notice. You are responsible for any taxes associated with your use of the Service.
4. Your content and data
You retain ownership of the seat maps, event data, and other content you submit to the Service. You grant us a limited license to host, process, and display that content solely to provide the Service. Our handling of personal data is described in our Privacy Policy.
5. Intellectual property
The Service, including its software, design, and documentation, is owned by SeatBuilder and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks or branding.
6. Service availability
We strive to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features from time to time. Scheduled maintenance and updates may cause temporary downtime.
7. Warranty disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, SeatBuilder will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.
9. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or other users. Upon termination, the rights granted to you under these Terms will end.
10. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
